Terms of Service

These Terms of Service ("Terms") apply to your use of sandhuwebstudio.com and to the services provided by Sandhu Web Studio, a unit of Banthan (MSME Udyam registered), based in Bathinda, Punjab, India ("we", "our", "us"). By using our website or services, you agree to these Terms. Please also read our Privacy Policy.

1. Our services

We build websites, web apps and SaaS products, run digital marketing (including Meta ads), set up WhatsApp automation, and provide software tools such as Gmail Hub. The exact scope, price and timeline of any project are set out in the written proposal or quote we send you. If that proposal and these Terms disagree, the proposal wins.

2. Quotes and payments

  • Prices are in Indian Rupees (INR) unless the proposal says otherwise.
  • Payments are due as set out in your proposal (for example, milestone payments). If a payment is overdue we may pause work until it is paid.
  • Online payments are processed by third-party payment providers; we do not store your card or bank details.
  • Refunds, if any, are as set out in your proposal. Where the proposal says nothing, payments for work already done are not refundable.
  • Rs 99 consultation: if you go ahead with us within 30 days of the call, the Rs 99 consultation fee is credited against your first invoice. Otherwise it is not refundable.
  • Founding prices: our first 5 clients get the founding prices shown on our pricing page, in return for a short review and permission to publish a case study after 30 days. The founding WhatsApp AI discount (Rs 1,000 a month) and the founding website discount (Rs 500 a month) last for as long as you stay on that plan without a break, and end if the plan is cancelled. The offer closes once 5 clients have signed.

3. Your responsibilities

  • Give us accurate information and the content, logins and approvals we need on time.
  • Only send us content (text, images, logos, data) that you own or have permission to use.
  • Use our website, services and tools lawfully, and not to send spam or harm others.

4. Ownership of work

  • Once you have paid in full, you own the final deliverables we made specifically for you. For websites and sales funnels on a monthly plan, you get your site's files when you take the buy-out (see section 8).
  • We keep ownership of our own tools, code libraries, templates and know-how that existed before or were built separately from your project, and give you a licence to use them as part of your project.
  • We may show the finished work in our portfolio unless you ask us not to in writing.

5. Gmail Hub and other software tools

  • Gmail Hub connects Gmail accounts to an AI assistant so the account owner can read, search and draft email. You may only connect accounts that you own or are authorised to manage.
  • You must also follow Google's terms when using Gmail Hub. It is not to be used for spam or bulk unsolicited email.
  • Email is only sent where sending has been switched on and you confirm each message. You are responsible for emails you choose to send.
  • You can disconnect an account at any time. How we handle Google account data is explained in section 3 of our Privacy Policy.

6. WhatsApp automation service

This section applies if you use our WhatsApp automation service: we connect your business WhatsApp number to the official WhatsApp Business Platform (run by Meta) and provide an AI assistant and team tools that reply to your customers, collect lead details and alert your team. What each plan includes (for example AI replies per month, team logins and numbers) is set out in your plan or proposal.

  • Plans and billing: plans are billed monthly or yearly, in advance. Any one-time setup fee is payable 50% when you sign up and 50% at go-live. AI replies above your plan's monthly allowance are charged at Rs 1.50 per extra AI reply (plus GST), and unused replies do not carry over to the next month. Prices exclude GST.
  • Meta's message fees: Meta charges for some WhatsApp messages (for example marketing broadcasts and some template messages). These are paid at Meta's own rate with no markup from us, either directly by you in your own WhatsApp Business Account or from prepaid message credits you buy from us. We do not pay Meta's fees on your behalf. Meta sets these rates and can change them.
  • Your number and account: your WhatsApp Business Account and phone number stay yours. If you stop using our service, we disconnect our app and you can move to any other provider.
  • Rules you must follow: you must follow Meta's WhatsApp Business Messaging Policy, Commerce Policy and terms. Only message people who have given you their number and agreed to hear from your business, and stop messaging anyone who asks you to (for example by replying STOP). Do not use the service for spam or for goods and services Meta does not allow. If Meta restricts or bans your number or account because of how it was used, we are not responsible and fees already due remain payable.
  • AI replies: the AI assistant answers from the business information you give us and hands the chat to your team when it cannot help. AI can make mistakes. You are responsible for keeping your prices, services and offers up to date with us, for what your business tells customers, and for reviewing chats regularly. The assistant must not be relied on for medical, legal, immigration or financial advice.
  • Your customers' data: you control your customers' chats and lead details, and we process them only to provide the service, as described in our Privacy Policy. When the service ends, you can ask for an export of your leads within 30 days, after which we delete the data.
  • 60-second promise: if, because of a fault on our side, the assistant does not reply to a new customer message within 60 seconds, you can claim 50% off that month's plan fee by telling us within 7 days after the month ends. This does not cover outages at Meta/WhatsApp or the AI provider, or your number or account being restricted by Meta.
  • Setup guarantee: if you are not satisfied within 30 days of go-live, tell us and we will refund the setup fee. Monthly plan fees and Meta's message fees are not refunded.
  • Minimum term and cancelling: monthly plans have a minimum term of 6 months. After that, they can be cancelled at the end of any paid month; part months are not refunded. Yearly plans are paid upfront and are not refundable, except under the setup guarantee above.

7. Websites and sales funnels

  • Payment: each website and sales funnel has a one-time setup fee and a monthly fee. The setup fee is payable 50% before work starts and 50% before the site goes live.
  • Your content: send us your content (logo, photos, prices and business details) within 3 days of payment. Delivery times (7 or 14 days, as stated in your package) start once we have that content.
  • Changes: each package includes the rounds of changes it states. Further changes or extra pages are quoted before we start work on them.
  • Domain and hosting: hosting and your domain are covered by the monthly fee. The domain is always registered in your name.

8. Monthly plans for websites, funnels and builds

  • What it covers: the monthly fee for a website or sales funnel covers hosting, your domain, updates, backups and small changes.
  • Minimum term: websites and sales funnels have a minimum term of 12 months. The first 12 months cover building your site. After that, stay month to month, or take your site with a one-time buy-out.
  • Buy-out: after the minimum term you can pay the one-time buy-out shown on our pricing page, and we give you your site's files. Your site stays live with us while you pay monthly.
  • Cancelling: after the minimum term, the monthly plan can be cancelled at the end of any paid month. Your domain stays yours.
  • Custom builds, apps, extensions and SaaS: these need a monthly support plan of 2% of the build price a month (minimum Rs 2,999 a month), covering hosting, fixes and updates.

9. Meta ads management

  • Minimum term: ads management has a minimum term of 3 months. After that, it can be cancelled at the end of any paid month.
  • Ad budget and account: your monthly ad budget is paid by you directly to Meta and is not part of our fee. You own the ad account and add us as a partner.
  • Our fee: our monthly fee is set by your monthly ad budget, in the tiers listed on our pricing page. For budgets above Rs 1,00,000 a month, the fee is 12% of the budget. A one-time setup fee applies unless we waive it.

10. Third-party services

Our work depends on third-party services such as hosting providers, Google, Meta (Facebook, Instagram, WhatsApp), Anthropic and payment gateways. Their own terms apply to your use of them, and we are not responsible for their outages, policy changes or decisions (for example, an ad or account being rejected).

11. Disclaimers and limits of liability

  • Our website and tools are provided "as is". We work carefully but cannot promise they will be error-free or always available, or guarantee specific results such as rankings, leads or sales.
  • As far as the law allows, we are not liable for indirect or consequential losses (such as lost profits or data), and our total liability for any claim is limited to the amount you paid us for the service concerned in the 3 months before the claim.

12. Ending the service

Either side may end a project as set out in the proposal. We may suspend access to our tools if they are misused or these Terms are broken.

13. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above shows the latest version, and continued use means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of India. Any disputes are subject to the courts in Bathinda, Punjab.
